Onboarding Terms and Conditions

These Onboarding Terms summarise key commercial and delivery conditions for the LFW programme. They are intended for click‑through acceptance during onboarding and operate alongside the Localist Terms & Conditions (Master Terms). If there is any conflict, the Master Terms (and any signed Order/SOW) prevail for the affected Service.
1. Parties & Definitions
Localist, we, us means Support Local Limited (NZBN 9429047301023) trading as Localist, of Nesti Chartered Accountants Limited, 5/36 William Pickering Drive, Rosedale, Auckland 0632, New Zealand. Related company: Quentosity Limited (NZBN 9429030586215) trading as Quentosity Group.
Client or you means the person or entity completing onboarding.
LFW means the complimentary website build programme described below.
SOW means Scope of Work confirmed during onboarding (tickets/emails may evidence approvals).
Third‑Party Services include hosting, CDN, email, analytics, payment gateways and other services we recommend or integrate.
2. Relationship to the Master Terms
2.1. By proceeding, you agree to these Onboarding Terms and the Localist Terms & Conditions (Master Terms).
2.2. The parties acknowledge they are each in trade; the Services are acquired for business purposes (CGA 1993 does not apply; FTA 1986 is contracted out of to the extent permitted by law).
2.3. Invoicing and notices are issued by Support Local Limited unless we notify you otherwise.
3. LFW Offer, Pricing & Commitments
3.1. Free build: The website build is 100% free (valued at up to 7 hours of professional work) within the standard LFW scope (see Schedule 1). Variations or out‑of‑scope requests may be billed at standard rates.
3.2. Minimum term: You commit to a 1-month minimum term covering hosting. After the first month there is no contract, and you are billed monthly for hosting services.
3.3. Hosting: Billed monthly at NZD $49 for standard websites. Hosting is provided via Hosting Harbour; as part of LFW you agree to sign up and keep the required affiliate connection active.
3.4. Recurring billing authority: You authorise recurring charges to your nominated payment method for the above fees until cancelled per the Master Terms.
4. Scope of Work (SOW), Time‑Box & Changes
4.1. Time‑boxed delivery: The SOW covers the work we can complete within the LFW build window and 7‑hour time‑box agreed during onboarding. We will prioritise tasks with you.
4.2. What if time runs out? If the 7‑hour time‑box elapses before all requested items are completed:
a) the remaining items become your responsibility to complete/update, or
b) you may request a variation for us to complete the items at our standard rates/timeline.
4.3. Client inputs: You will supply content, assets, logins and approvals by the dates we agree. If content is not supplied on time, we may use reasonable placeholders to maintain momentum; rework due to late content may be billed.
4.4. Acceptance: We will provide a staging/demo for review. You have 10 Business Days to provide a written list of material defects that deviate from the agreed scope. Fixes for accepted defects are included; enhancements or new requests are variations. Deemed acceptance occurs if (i) we do not receive a written defect list within that period, or (ii) you authorise go‑live, whichever happens first.
4.5. Change control: Any changes after acceptance or go‑live, or that expand scope/timeline, may be billed as variations.
4.6. Pauses: If the project is paused by you for 14+ days, we may re‑schedule the build window; a restart fee may apply if the scope or environment has materially changed.
5. Go‑Live, Service Impact & Support
5.1. Go‑live: You authorise DNS changes and releases. We will make reasonable efforts to schedule go‑live at low‑traffic windows if requested in advance.
5.2. Service impact: Development, deployment and DNS propagation can cause temporary disruption; no uninterrupted availability is guaranteed.
5.3. Support: Business‑hours (NZT) support via ticket/email; urgent incidents are best‑efforts only. Fair‑use applies to complimentary support.
6. Third‑Party Services, Licences & Exit
6.1. Third‑Party Services: Your site may depend on hosting, CDN, email, analytics, gateways and other providers, each under their own terms, fees and SLAs. We are not responsible for outages or losses caused by those providers.
6.2. Licences: Access to premium themes/plugins may be provided via our licences during the term. Where we purchase licences on your behalf, the licence remains with us unless otherwise agreed.
6.3. Exit: Transfers to another provider can only be actioned after the 1‑month minimum term. A site export and transfer service fee of no less than NZD $199 applies. On exit, our licence keys are removed and are not transferable; you must purchase and activate your own premium theme/plugin licences and migrate to your own provider accounts (e.g., hosting, CDN, email). 7. Fees, Non‑Payment & Suspension
7.1. Pricing: Hosting $49 per month; maintenance $199 + GST per quarter (standard websites).
7.2. Non‑payment: If payment fails or your account is overdue, your website may be automatically suspended until arrears are cleared in full. Repeated suspensions may attract a reasonable reactivation fee.
7.3. Cancellations: Cancellations take effect at the end of the current billing period; no pro‑rata refunds for part‑months unless required by law. Minimum term obligations still apply.
8. Acceptable Use & Content Responsibility
8.1. You must not use the Service for illegal, harmful, deceptive or infringing purposes.
8.2. You are responsible for ensuring content you supply (including images and logos) is licensed and lawful.
9. IP, Privacy, Warranties & Liability (Summary)
9.1. IP: You own your supplied materials and, upon full payment, the final deliverables excluding our background IP, reusable tools and frameworks (licensed to you as embedded). Third‑party/open‑source components remain subject to their licences.
9.2. Privacy: Each party must comply with the Privacy Act 2020. Some personal information may be stored or processed by Third‑Party Services (including overseas). See our Privacy Policy.
9.3. Warranties: Services are provided “as is” except as required by law.
9.4. Liability: Our aggregate liability is limited as set out in the Master Terms; we are not liable for indirect or consequential loss.
10. Governing Law, Disputes & Notices
10.1. Law: New Zealand law; non‑exclusive jurisdiction of NZ courts.
10.2. Disputes: Good‑faith negotiation, then mediation (AMINZ rules) before proceedings (urgent injunctions excepted).
10.3. Notices: By email to the addresses on the order/account or [email protected] (or as updated by notice).
11. Acceptance (Click‑Through)
By clicking I Agree or proceeding with onboarding, you confirm that:
• you have read and agree to these Onboarding Terms and the Master Terms;
• you have authority to bind the Client; and
• both parties are in trade and you are acquiring the Services for business purposes.

• eCommerce (products, carts, checkout, shipping/payments) or membership portals.
• Custom design systems, advanced animations, or complex integrations (CRM/ERP).
• Content writing, branding, photography, or stock image licensing beyond fair use.
• Accessibility audits (e.g., WCAG 2.1 AA), SEO strategy/audits, analytics implementation beyond basic tags.
• Data migration, multi‑language setup, or multi‑site networks unless agreed.
Notes: The scope is time‑boxed; items may be re‑prioritised with you. Anything not completed within the 7‑hour build window becomes your responsibility to complete or may be delivered by us via a variation at standard rates.
